Constitution and By-laws
Article I-Name
The name of this organization shall be the Graphic Communications Alliance of West Michigan, a non-profit organization. The period of existence of said organization shall be perpetual.
Article II-Object
The Graphic Communications Alliance of West Michigan (herein referred to as "The Alliance") is a forum to promote continual business climate improvement for the Graphic Communication Industry in the West Michigan area. The Alliance will provide a venue for communication among Graphic Communication companies, and will encourage outreach efforts with Business, Education, Government and the Community.
Article III Membership
Section I
Membership in The Alliance shall be limited to those whose interest is in the Graphic Communications industry. For example, but not limited to: Printers, Designers, Buyers, Suppliers, and Educators. The Board will approve membership.
Section II
Once an individual becomes a member, his/her membership is retained regardless of changes in position in the industry, if he/she remains in good standing.
Article IV Officers
Section I
The officers of The Alliance shall be President, Vice-President, Treasurer, Secretary, and Assistant Secretary/Treasurer.
Section II
These five officers together with up to four President-appointed Board Members and the Immediate Past President shall constitute the Board.
Section II
The officers of The Alliance shall be nominated in October, elected in November, and installed in January. The term shall be for one year.
Section IV
All officers shall be eligible to seek re-election.
Article V - Quorum
One-half of the current Board shall constitute a quorum at any Board meeting.
Article VI - Auditing
The fiscal year of The Alliance begins on January 1. Before the last month of the fiscal year, the President shall appoint an Auditing Committee of at least two whose duty it shall be to audit the books and accounts of the Treasurer and render a report to the Board.
Article VII Committees
Committees shall be created by a person or persons who wish to champion a cause for the greater good of the members of The Alliance. Each committee must be approved by a majority vote of the Board before a committee can be established.
Article VIII Elections
Section I
All nominations for Officer positions must be received by the Secretary prior to the November board meeting. The Secretary shall obtain the consent of each nominee before creating a list of candidates which will be distributed to members.
Section II
Ballots of all members in good standing must be received by the December board meeting. Simple majority shall elect the candidate to the position nominated for.
Section III
Should only one nomination be made for any office, the Secretary shall be instructed to cast the vote of The Alliance for that candidate.
Article IX Committee Expenditures
All events shall have a written event budget prepared, and approved by a majority vote of the Board, prior to any expenditure.
Article X Amendments
Any alterations or amendments to the Constitution or By-Laws may be made at any major meeting/event of the Alliance, by a majority vote of the members present and voting, provided such proposed amendments have been submitted for approval to the Board, and that a copy of the proposed amendments shall have been mailed to each member of The Alliance at least 10 days before the meeting at which the proposed amendments are to be considered.
